After expiration of deadline: further negotiations of transaction to
acquire parts of VAMED Group
• Closing conditions of purchase agreement remain unfulfilled at
contractually agreed date
• Negotiation of key points of transaction by STRABAG/PORR being
continued
The purchase agreement for the acquisition of parts of VAMED Group,
concluded in May 2024 between a joint holding company of STRABAG SE and
PORR AG as the buyer on the one hand and VAMED AG (a group company of
Fresenius SE & Co. KGaA of Germany) as the seller on the other, has not
been fulfilled by the contractually agreed date. Among other things,
approval from the relevant competition authority has not yet been
obtained.
The purchase agreement includes VAMED-KMB Krankenhausmanagement und
Betriebsführungsges.m.b.H. (VKMB) and VAMED Standortentwicklung und
Engineering GmbH (VSG) with the technical operations management and
construction projects divisions of Vienna General Hospital (AKH Wien), the
Austrian project development business and the spa holdings in Austria.
The STRABAG-PORR consortium has therefore entered into further
negotiations with the seller regarding the purchase agreement.
